The Federal Communications Commission (FCC) has recently approved Verizon's $1 billion acquisition of spectrum from Array Digital Infrastructure, previously known as UScellular. This decision comes shortly after another FCC approval concerning AT&T's $40 billion spectrum purchase from EchoStar. With the acquisition of spectrum comprising various frequency bands, Verizon aims to enhance its wireless network capabilities and improve customer experience amid growing demand for mobile services.
Key Details of the Spectrum Acquisition
The approved transaction allows Verizon to acquire the following spectrum licenses:
- Up to 25 MHz of cellular spectrum.
- Up to 20 MHz of AWS-1 spectrum.
- Up to 10 MHz of AWS-3 spectrum.
- Up to 20 MHz of PCS spectrum.
Enhanced Customer Experience Expected
In its approval statement, the FCC emphasized that the acquisition would significantly improve Verizon's network coverage, capacity, and performance, ultimately benefiting customers. FCC Chairman Brendan Carr noted that such spectrum ownership changes are essential for wireless companies operating in today’s fast-paced connectivity environment.
Previous Spectrum Acquisitions
This spectrum deal follows AT&T's own FCC-approved acquisition of $1.02 billion from UScellular last December, which included a mix of mid-band and low-band airwaves. Such transactions are becoming increasingly common, with wireless companies rapidly deploying newly acquired spectrum to enhance their services.
Regulatory Landscape Changes
It's worth noting that amid these transactions, Chairman Carr suggested that companies might have had to adjust their diversity, equity, and inclusion (DEI) programs to appease regulatory scrutiny surrounding mergers and acquisitions, reflecting a shift in the FCC’s approach to corporate transactions.
Future Plans for Array Digital Infrastructure
Currently, Array Digital Infrastructure retains a significant percentage of UScellular's spectrum holdings, primarily in low and mid-band frequencies, with plans to monetize the remaining spectrum as it transitions into a wireless infrastructure-focused business.
As the demand for robust wireless coverage and fast mobile data continues to grow, both Verizon and Array Digital Infrastructure are set to navigate this evolving landscape, ensuring improved services for consumers while adapting to regulatory requirements.
